1. Wholesale Accounts

SLABD Wholesale supplies products to approved business customers only. To apply for a wholesale account, you must provide accurate, current and complete business information, including your business name, ABN/ACN, billing and shipping details, contact details, and any other information we reasonably request.

We may approve, decline, suspend or cancel a wholesale account at our discretion. You are responsible for keeping your account details up to date and for maintaining the confidentiality of your login credentials.

2. Business Customers Only

Our wholesale website and pricing are intended for business customers only. By using a wholesale account, you confirm that you are acquiring products for business, trade, resale or commercial use and not primarily for personal, domestic or household use.

Nothing in these Terms excludes any rights or remedies that cannot lawfully be excluded under Australian law.

3. Orders

All orders are subject to acceptance by us. We may refuse or cancel any order where stock is unavailable, pricing or product information is incorrect, payment is not received or is declined, we suspect fraud or misuse, or you are in breach of these Terms.

An order is not binding on us until we accept it. Minimum order values, minimum quantities, pack multiples or other wholesale conditions may apply and may be displayed on the website or otherwise advised by us.

Accepted orders cannot be cancelled or changed without our written approval.

4. Product Information

We aim to ensure product descriptions, pricing, specifications, pack sizes and images are accurate, but errors may occasionally occur. Product images are for illustration only and actual colours, packaging and appearance may vary.

We reserve the right to update, modify, substitute or discontinue products at any time without prior notice.

5. Pricing

All prices are in Australian dollars unless otherwise stated. Unless stated otherwise, prices are exclusive of GST, shipping, insurance and any other applicable charges.

We may change prices at any time before accepting an order. If a pricing error occurs, we may cancel the affected order and refund any amount paid, or contact you to confirm whether you wish to proceed at the correct price.

6. Payment

Unless we have approved a credit account in writing, payment must be made in full at the time of ordering. If credit terms are approved, payment must be made in accordance with those approved terms.

If any amount is overdue, we may suspend supply, withhold deliveries, cancel pending orders, revoke credit arrangements, and recover reasonable collection costs. We may also charge interest on overdue amounts at a reasonable rate permitted by law.

7. Title and Risk

Risk in the products passes to you upon delivery. Title in the products does not pass to you until we have received payment in full for the relevant products and any other amounts owing by you to us.

Until title passes, you must keep the products identifiable and stored safely.

8. Delivery

Delivery dates are estimates only and are not guaranteed. We are not liable for delays caused by events outside our reasonable control, including carrier delays, supply shortages, industrial action, customs delays, weather events or other force majeure events.

Delivery is taken to occur when the products are delivered to the address nominated by you, made available for collection, or handed to your nominated carrier.

You must inspect products promptly after delivery and notify us within 5 business days of any shortage, incorrect supply, or damage apparent on delivery.

9. Freight

Shipping and freight charges are payable by you unless otherwise agreed. We may choose the shipping method and carrier unless otherwise agreed.

Any delivery times shown are estimates only. You are responsible for ensuring your shipping details are correct and that deliveries can be received at the nominated address.

10. Returns

Returns are not accepted without our prior approval. We may approve returns where we supplied the incorrect item, the item arrived damaged and was reported within the required timeframe, or the item does not meet any non-excludable statutory guarantee.

We are not required to accept returns for change of mind, ordering mistakes made by you, damage caused after delivery, products not returned in original saleable condition, or clearance, custom, special-order or non-returnable items.

11. Warranties and Liability

To the maximum extent permitted by law, all implied warranties, conditions and representations not expressly stated in these Terms are excluded.

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of revenue, loss of business opportunity or loss of goodwill.

To the maximum extent permitted by law, our total liability in connection with any claim is limited to the amount paid by you for the relevant products giving rise to the claim.

12. Resale and Product Use

You are responsible for ensuring the products are suitable for your intended use, storage, handling and resale. You must comply with all applicable laws and regulations when reselling or using our products.

You must not make false, misleading or deceptive statements about our products. You must not represent yourself as our agent or act on our behalf unless we have agreed to this in writing.

13. Intellectual Property

All intellectual property rights in our website, product content, branding, logos, images and materials remain our property or the property of our licensors.

You may not reproduce, copy, distribute or use our materials except as reasonably required to promote resale of our products or as otherwise approved by us in writing.

14. Privacy

We collect and handle personal information in accordance with our Privacy Policy. By dealing with us, you consent to us collecting and using information reasonably necessary to process your application, manage your account, fulfil orders, process payments and communicate with you.

15. Suspension and Termination

We may suspend or terminate your account immediately if you breach these Terms, fail to pay amounts due, become insolvent or are reasonably suspected to be insolvent, or we suspect fraud, unlawful conduct, misuse or reputational risk.

Termination does not affect any rights or liabilities that arose before termination.

16. Force Majeure

We are not liable for delay or failure to perform our obligations where caused by events outside our reasonable control, including natural disasters, transport disruptions, cyber incidents, supplier failures, labour shortages, pandemics, government action or utility failures.

If such an event continues for an extended period, we may cancel affected orders and refund any amounts paid for products not supplied.

17. Governing Law

These Terms are governed by the laws of South Australia. You submit to the non-exclusive jurisdiction of the courts of South Australia and the Commonwealth of Australia.
